AerCap subsidiaries to price two-part offering of senior notes

Los Angeles, Sept. 18 – AerCap Ireland Capital DAC and AerCap Global Aviation Trust plan to price fixed-rate senior notes in two parts, according to a 424B3 filing with the Securities and Exchange Commission.

The notes will be guaranteed by parent company AerCap Holdings NV.

The notes will feature an optional make-whole call some months prior to maturity, followed by an optional par call. The notes will also be putable at 101 if a change-of-control triggering event occurs.

BNP Paribas Securities Corp., BofA Securities, Inc., J.P. Morgan Securities LLC, Mizuho Securities USA LLC and Santander US Capital Markets LLC are the joint bookrunners.

Bank of New York Mellon Trust Co., NA is the trustee.

For the issuers, Cravath, Swaine & Moore LLP will handle matters with respect to New York and U.S. law, McCann FitzGerald will handle matters of Irish law, NautaDutilh NV will handle matters of Dutch law, Morris, Nichols, Arsht & Tunnell LLP will handle matters of Delaware law, and Smith, Gambrell & Russell, LLP will handle matters of California law. Simpson Thacher & Bartlett LLP will act as counsel for the underwriters.

Proceeds will be used to acquire, invest in, finance or refinance aircraft assets, to repay debt and for other general corporate purposes.

AerCap is an aircraft leasing company with headquarters in Dublin.
