Perimeter Solutions starts roadshow for $600 million eight-year notes

Portland, Ore., Oct. 5 – EverArc Escrow Sarl started a roadshow on Tuesday for a $600 million offering of eight-year senior secured notes to help fund its acquisition of Premier Solutions, according to market sources.

The deal was scheduled to kick off on a Tuesday conference call with investors and run a roadshow through Thursday.

Left bookrunner Morgan Stanley & Co. LLC will bill and deliver. Barclays and Goldman Sachs & Co. LLC are joint bookrunners.

The Rule 144A and Regulation S for life notes become callable after three years at par plus 50% of the coupon.

EverArc Escrow will be the initial issuer. Following the acquisition, the notes will be assumed by SK Invictus Intermediate II Sarl.

Proceeds will be used to fund the acquisition of Perimeter Solutions, a St. Louis-based supplier of fire control products and additives, formerly known as Invictus, and to refinance debt.
