Aon offers guaranteed senior notes via three bookrunners

Lexington, Ky., Feb. 23 – Aon Corp. and Aon Global Holdings plc are expected to issue guaranteed senior notes, according to a 424B5 filing with the Securities and Exchange Commission.

The notes have a make-whole call some months prior to maturity and are then redeemable at par.

The notes are also redeemable due to taxation reasons in Ireland or the United Kingdom.

The notes are guaranteed by Aon plc and Aon Global Ltd.

The bookrunners are Morgan Stanley & Co. LLC, BofA Securities, Inc. and HSBC Securities (USA) Inc.

The Bank of New York Mellon Trust Co., NA is the trustee.

Matheson, Sidley Austin LLP and Freshfields Bruckhaus Deringer LLP are counsel to the issuer, and Davis Polk & Wardwell LLP is counsel to the underwriters.

Proceeds will be used for general corporate purposes.

Aon is a London-based provider of risk management, insurance and reinsurance brokerage and also human resources solutions and outsourcing services.
