Aspire Defence gets needed votes at adjourned bondholder meetings

Los Angeles, June 20 – Aspire Defence Finance plc announced the results of the adjourned meetings for its series A and series B bondholders.

Adjourned meetings for each of the series A and series B bonds were held on June 14.

A quorum was present at each of the adjourned meetings, according to notices on Tuesday.

At the meeting for the series A bondholders, 472,233, or 99.89%, of the 472,733 votes cast were in favor of the extraordinary resolution to amend the series A bonds.

At the meeting for the series B bondholders, all 461,679 of votes cast were in favor of the extraordinary resolution to amend the series B bonds.

The bondholder meetings were originally scheduled for May 26 but had been adjourned due to lack of quorum.

A deed of consent, amendment and restatement was executed for each series as of June 16.

As reported, Assured Guaranty UK Ltd. proposed to bring the current guarantees provided in respect of the bonds into line with the modern double guarantee structure and give bondholders direct recourse to parent company Assured Guaranty Municipal Corp.
