Aon North America lines up bond financing for NFP transaction

Chicago, Feb. 27 – Aon North America, Inc. is in the Tuesday market with a five-part offering of senior notes, according to a 424B5 filing with the Securities and Exchange Commission.

Each of the notes will have make-whole call protection and then will be callable at par.

The notes will be fully and unconditionally guaranteed by Aon plc, Aon Corp., Aon Global Holdings plc and Aon Global Ltd.

Citigroup Global Markets Inc., Morgan Stanley & Co. LLC, HSBC Securities (USA) Inc. and J.P. Morgan Securities LLC are the joint bookrunners.

Bank of New York Mellon Trust Co., NA will be the trustee.

Cravath, Swaine & Moore LLP, Matheson LLP and Freshfields Bruckhaus Deringer LLP are working as counsel for the issuer. Davis Polk & Wardwell LLP is named as counsel for the underwriters.

Proceeds will be used to fund the cash consideration for the acquisition of NFP, including debt repayment.

The outside date for the acquisition is Dec. 19, 2024. If the acquisition is not completed by the outside date or is terminated, there will be a special mandatory redemption at 101.

The issuer is based in Chicago. The guarantors have executive offices in Dublin, Chicago and London. Aon is a provider of risk management, insurance and reinsurance brokerage and also human resources solutions and outsourcing services.
