Wells Fargo plans leveraged upside participation notes linked to S&P

Olympia, Wash., Sept. 26 – Wells Fargo Finance LLC plans to price 0% market-linked securities with upside participation with averaging and principal return at maturity due April 6, 2026 linked to the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by Wells Fargo & Co.

The average ending level of the index will be based on the average of closing levels of the index on specified dates occurring quarterly during the term of the notes.

If the average ending level is greater than the starting level, the payout will be par plus 100% to 110% of the index’s gain.

Otherwise, the payout will be par.

Wells Fargo Securities LLC is the agent.

The notes will price Sept. 30.

The Cusip number is 95001HA92.
