Infratek change of control triggered by sale to Vinci; call exercised

New York, Dec. 21 – Infratek Group AS said that holders of its senior secured callable bond issue 2014/2019 may exercise the change-of-control put option after the company’s sole shareholder, Heraldic Midco Sarl, sold its shares to Vinci Energies SA.

The acquisition counts as a change of control under the bond agreement, according to an announcement from the company.

Holders may exercise the put within the next 15 calendar days at a price of 101% of par plus accrued interest.

In addition, Infratek is exercising the call option for the bonds. Any debt not put back to the company will be redeemed on Feb. 6.

Infratek is an Oslo-based operator of energy and railroad infrastructure in Norway, Sweden, Finland and Denmark.
