Together/Jerrold talks £450 million six-year notes to yield 5¼%-5½%; pricing Thursday

Portland, Ore., Jan. 14 – Together Financial Services Ltd. talked its £450 million offering of six-year senior secured notes (BB-/BB-) to yield 5¼% to 5½%, according to a market source.

The Rule 144A and Regulation S deal is set to price on Thursday.

Global coordinators and joint bookrunners Citigroup will bill and deliver. Goldman Sachs International is also a joint global coordinator and joint bookrunner. Barclays, Credit Suisse, HSBC and JPMorgan are joint bookrunners.

The notes become callable after two years at par plus 50% of the coupon.

The issuing entity will be Jerrold FinCo plc, a subsidiary of Together Financial Services.

The U.K.-based specialist mortgage lender, formerly known as Jerrold, plans to use the proceeds to repay its 6 1/8% senior secured notes due 2024 and to pay down balances under its CABS securitization.
