ADT reports early tenders of $1.67 billion 9¼% notes due 2023

Columbus, Ohio, April 1 – ADT Corp. said wholly owned subsidiaries Prime Security Services Borrower, LLC and Prime Finance Inc. took in early tenders of $1,672,979,000, or 74.49%, in their tender offer for their outstanding $2,246,000,000 9¼% second-priority senior secured notes due 2023, according to a press release.

ADT said $1 billion of the early tenders are expected to be accepted on a pro rata basis.

The offer opened on March 18, and the early deadline was 5 p.m. ET on March 29.

Holders will receive $1,053.04 for each $1,000 principal amount of early tendered notes accepted for purchase, including the early tender payment of $30 per $1,000 principal amount.

Early settlement is scheduled for April 4.

The offer will expire at 12 a.m. April 13.
