Brazil’s Marfrig gives final results of tender for 6 7/8%, 7% notes

New York, Feb. 10 – Marfrig Global Foods SA announced the final settlement of its offer to buy back up to $1.75 billion of its 6 7/8% senior notes due 2024 (ISINs: US566007AB67, USG5825AAB82) and its 7% senior notes due 2025 (ISINs: US566007AA84, USG5825AAA00) issued by MARB BondCo plc, according to a press release.

As of the expiration at 11:59 p.m. ET on Feb. 8, $714,634,000, or 71.6%, of the 2025 notes and $329,468,000, or 43.93%, of the 2024 notes had been tendered and not withdrawn.

The final settlement included $800,000 of 2025 notes, or about 0.08% and $5,375,000 of the 2024 notes, or about 0.72%, that were validly tendered after the early tender time and prior to expiration.

The buyback leaves $285,366,000 of the 2025 notes remaining outstanding and $420,532,000 of the 2024 notes remaining outstanding.

As previously reported, the 2024 notes were purchased at $1,007.50 per $1,000 face amount and the 2025 notes at $995 per $1,000 face amount, plus interest plus an additional $30.00 per $1,000 face amount if tendered prior to the Jan. 25 early deadline.

The company will redeem any 2025 notes remaining outstanding at 103.438% of their principal amount, which is less than the 2025 total consideration, and it will exercise its right under the 2024 notes indenture to redeem those notes at a price of 101.75% of the principal amount, less than the 2024 total consideration.
