innogy replaced by E.ON as issuer of 15 series of notes

Columbus, Ohio, Nov. 4 – innogy Finance BV announced the extraordinary resolutions for 15 series of notes passed by noteholders via consent solicitations announced in August were implemented on Wednesday.

Extraordinary resolutions announced in a solicitation memorandum dated Aug. 13 were passed via a vote without meeting that ran from Sept. 4 through Sept. 11 for the following series, according to a notice:

• The ₤570 million of 6.5% notes due April 2021 (ISIN: XS0127992336);

• The ₤500 million of 5.5% notes due July 2022 (ISIN: XS0437307464);

• The €750 million of 0.75% notes due November 2022 (ISIN: XS1829217428);

• The ₤487.5 million of 5.625% notes due December 2023 (ISIN: XS0170732738);

• The €800 million of 3% notes due January 2024 (ISIN: XS0982019126);

• The €500 million of 1.625% notes due May 2026 (ISIN: XS1829217345);

• The €850 million of 1.25% notes due October 2027 (ISIN: XS1702729275);

• The €1 billion of 1.5% notes due July 2029 (ISIN: XS1761785077);

• The ₤760 million of 6.25% notes due June 2030 (ISIN: XS0147048762);

• The €600 million of 5.75% notes due February 2033 (ISIN: XS0162513211);

• The $17.4 million of 3.5% notes due April 2033 (ISIN: XS0909427782);

• The ₤600 million of 4.75% notes due January 2034 (ISIN: XS0735770637);

• The ₤1 billion of 6.125% notes due July 2039 (ISIN: XS0437306904);

• The €100 million of 3.5% notes due December 2042 (ISIN: XS0858598898); and

• The €150 million of 3.55% notes due February 2043 (ISIN: XS0887582186).

Upon implementation of the extraordinary resolutions, E.ON SE replaced innogy SE as guarantor, and E.ON International Finance BV replaced innogy Finance as issuer.
