Fox Factory plans to expand credit facility for SCA acquisition

Columbus, Ohio, Feb. 12 – Fox Factory Holding Corp. plans to expand its credit facility led by Bank of America to acquire SCA Performance Holdings, Inc. from Southern Rocky Holdings, LLC, according to a news release.

Fox Factory announced Wednesday has signed a definitive agreement to acquire 100% of the issued and outstanding capital stock of SCA for $328 million, exclusive of vehicle inventory.

The transaction is expected to close late in the first quarter of fiscal 2020. The company said the expanded credit facility and cash on hand will be sufficient to fund the acquisition.

Fox Factory is a Scotts Valley, Calif.-based manufacturer of high-performance ride dynamics products primarily for bicycles, side-by-side vehicles, on-road and off-road vehicles and trucks, all-terrain vehicles, snowmobiles, specialty vehicles and applications, and motorcycles. SCA is a specialty vehicle manufacturer for light duty trucks and SUVs with headquarters in Trussville, Ala.
