JPMorgan plans contingent buffered notes linked to iShares MSCI EAFE

Tacoma, Wash., May 10 – JPMorgan Chase Financial Co. LLC plans to price 0% uncapped contingent buffered return enhanced notes due May 16, 2019 linked to the iShares MSCI EAFE exchange-traded fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by JPMorgan Chase & Co.

If the final share price is greater than the initial share price, the payout at maturity will be par plus at least 1.39 times the ETF return. The exact upside leverage factor will be set at pricing. If the ETF falls by up to 20%, the payout will be par. If the ETF falls by more than 20%, investors will lose 1% for every 1% that the final share price is less than the initial share price.

The notes will price May 13.
