New Issue: JPMorgan sells $2.44 million callable contingent interest notes on ICE swap rates

By William Gullotti

Buffalo, N.Y., March 21 – JPMorgan Chase Financial Co. LLC priced $2.44 million of callable contingent interest notes due Sept. 18, 2023 linked to the spread between the 30-year U.S. dollar ICE swap rate and the two-year U.S. dollar ICE swap rate, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by JPMorgan Chase & Co.

The notes will pay a contingent monthly coupon at an annual rate of 10% if the spread of the 30-year swap rate minus the two-year swap rate is greater than or equal to negative 0.2% on the relevant review date.

The notes may be called at par plus any coupon due on any monthly review date other than the first through fifth and final dates.

If the notes have not been called and the final spread is greater than or equal to negative 0.2%, the payout at maturity will be par plus the final coupon.

Otherwise, investors will lose 1% for every 0.01% that the spread is less than negative 0.2%.
