WEC Energy to sell senior notes in two tranches via five bookrunners

Lexington, Ky., Sept. 22 – WEC Energy Group, Inc. plans to sell two tranches of dollar-denominated senior notes, according to a 424B5 filing with the Securities and Exchange Commission on Thursday.

The notes will have make-whole calls, which convert to par calls a number of months before each maturity date.

Bank of New York Mellon Trust Co., NA is the trustee.

The joint bookrunners for the offering are Barclays, J.P. Morgan Securities LLC, Mizuho Securities USA LLC, TD Securities (USA) LLC and Wells Fargo Securities, LLC.

Comerica Securities Inc. and Samuel A. Ramirez & Co., Inc. are serving as co-managers.

Troutman Pepper Hamilton Sanders LLP will serve as counsel for WEC Energy. The company will also use in-house legal counsel. Hunton Andrews Kurth LLP will serve as counsel for the bookrunners.

Proceeds will be used to repay short-term debt and for general corporate purposes.

WEC Energy is a Milwaukee, Wis.-based diversified holding company for electric and gas businesses in Wisconsin, Illinois, Michigan and Minnesota.
