Citigroup plans contingent income PLUS linked to Alerian MLP ETF

Morgantown, W.Va., June 29 – Citigroup Global Markets Holdings Inc. plans to price contingent income Performance Leveraged Upside Securities due Jan. 5, 2022 linked to the Alerian MLP exchange-traded fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

Each quarter, the notes will pay a contingent coupon at a rate of 6.5% per year if the fund closes at or above its initial share price on the valuation date for that quarter.

The payout at maturity will be par of $10 plus 200% of any fund gain.

Investors will be exposed to any losses.

Citigroup Global Markets Inc. is the agent. Morgan Stanley Wealth Management is a dealer.

The securities will price on June 30.

The Cusip number is 17325K461.
