Welltower plans to price new dollar-denominated green notes

Concord, N.H., March 29 – Welltower Inc. intends to offer dollar-denominated notes, according to a 424B5 filing with the Securities and Exchange Commission.

The notes feature a make-whole call followed by a par call.

Wells Fargo Securities LLC, Citigroup Global Markets Inc. and PNC Capital Markets LLC are the bookrunners.

Bank of New York Mellon Trust Co., NA is the trustee.

Counsel to the issuer is provided by Gibson, Dunn & Crutcher LLP and to the underwriters by Sidley Austin LLP.

Proceeds will be used for a portfolio of eligible green projects. Pending such allocation, proceeds will be for general corporate purposes, including repayment of debt and investing in health care and senior housing properties.

The Toledo, Ohio-based real estate investment trust invests in senior housing and health care real estate.
