Hewlett Packard offers more 5.9% notes due 2024, new notes

Chicago, June 5 – Hewlett Packard Enterprise Co. is offering two tranches of notes, including an add-on to its 5.9% notes due Oct. 1, 2024, according to 424B5 filing with the Securities and Exchange Commission.

The original series of notes due 2024 was issued on March 21, 2023. The additional notes will be fungible with the existing notes.

Any change of control will trigger a put at 101.

The add-on notes will have a make-whole call option at Treasuries plus 15 basis points all the way through until the maturity date.

The new notes will have a make-whole call option until an optional par call period.

Citigroup Global Markets Inc., BofA Securities, Inc. and Santander US Capital Markets LLC are the bookrunners.

Bank of New York Mellon Trust Co., NA is the trustee.

Gibson, Dunn & Crutcher LLP and in-house counsel are advising the issuer. Cravath, Swaine & Moore LLP is advising the underwriters.

Proceeds will be used to refinance debt and for general corporate purposes.

The technology company is based in Spring, Tex.
