Petrobras to price dollar-denominated global note via eight bookrunners

Lexington, Ky., June 26 – Petroleo Brasileiro SA – Petrobras plans to price a global note in dollars through wholly owned subsidiary Petrobras Global Finance BV, according to 424B2 and 6-K filings with the Securities and Exchange Commission.

The notes will be guaranteed by the parent.

The notes have an optional make-whole call until some months prior to maturity, followed by a par call option.

Banco BTG Pactual SA – Cayman Branch, Citigroup Global Markets Inc., Goldman Sachs & Co. LLC, Itau BBA USA Securities, Inc., MUFG Securities Americas Inc., Santander US Capital Markets LLC, Scotia Capital (USA) Inc. and UBS Securities LLC are the joint bookrunners.

Bank of New York Mellon will be the trustee.

NautaDutilh NV will act as special Dutch counsel for the issuer with regard to Dutch law, while Cleary Gottlieb Steen & Hamilton LLP will act as counsel regarding New York law. Petrobras will also use in-house counsel.

Pinheiro Neto Advogados (Brazilian law) and Shearman & Sterling LLP (New York law) will advise the bookrunners.

Proceeds from the issue will be for general corporate purposes, which could include debt repayment.

The notes are expected to be listed on the New York Stock Exchange.

Petrobras is an oil and gas company based in Rio de Janeiro.
