New Issue: GS prices $2.1 million autocallable contingent coupon equity notes on stocks

New York, Nov. 4 – GS Finance Corp. priced $2.1 million of autocallable contingent coupon equity-linked securities due Nov. 9, 2022 linked to the class C capital stock of Alphabet Inc., the common stock of Nvidia Corp. and the American Depositary Shares of Alibaba Group Holding Ltd., according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

The notes will pay a contingent quarterly coupon at a yearly rate of 12.1% if each stock closes above the coupon barrier price, 50% of the initial price, on the observation date for that period.

The notes will be automatically called at par plus the contingent coupon if each stock closes at or above its initial share price on any quarterly call observation date, beginning in February 2021.

If the notes are not called and the final share price of each stock is greater than or equal to the trigger price, 50% of its initial level, the payout at maturity will be par plus the contingent coupon. Otherwise, investors will be fully exposed to the decline in the share price of the least performing stock.
