New Issue: Citigroup prices $1 million 12.3% autocallable contingent coupon notes on Energy Select Sector, SPDR S&P Oil

New York, Feb. 2 – Citigroup Global Markets Holdings Inc. priced $1 million of autocallable contingent coupon equity linked securities due Feb. 3, 2026 linked to the Energy Select Sector SPDR Fund and SPDR S&P Oil & Gas Exploration & Production ETF, according to a 424B2 filing with the Securities and Exchange Commission.

Investors will receive a coupon of 12.3% paid quarterly if the worst performing ETF closes at or above its 85.001% coupon barrier on the related valuation date, plus any previously unpaid coupons.

The securities will be called automatically starting Jan. 29, 2025 if the price of the worst performing ETF is greater than or equal to its initial price and on any subsequent quarterly valuation date.

The payout at maturity will be par if the worst performing ETF gains or declines by no more than its 15% buffer. Otherwise investors will lose 1% for every 1% that the worst performing ETF declines beyond the buffer.

The notes are guaranteed by Citigroup Inc.
