Brazil’s Minerva unit eyes new notes, subject to market conditions

By Wendy Van Sickle

Columbus, Ohio, Aug. 31 – Minerva Luxembourg SA is planning an issuance of new notes in an international capital markets offering, according to a press release.

The issuance is subject to market conditions, and some proceeds are expected to be used to fund a tender offer for the company’s 7¾% senior notes due 2023.

The company said HSBC Securities (USA) Inc. began a cash tender offer and a consent solicitation for any and all of the $868,015,000 of outstanding notes on Wednesday. The offer ends at 11:59 p.m., ET on Sept. 28.

The issuer is a subsidiary of Minerva SA, a Barretos, Brazil-based food processor.
