Twitter to price $1 billion eight-year bullet notes on Wednesday

Portland, Ore., Feb. 23 – Twitter, Inc. plans to price a $1 billion offering of senior bullet notes due March 1, 2030 (Ba2/BB+) in a Wednesday drive-by, according to market sources.

J.P. Morgan Securities LLC, Goldman Sachs & Co. LLC, Morgan Stanley & Co. LLC, Wells Fargo Securities LLC and BofA Securities Inc. are the joint bookrunners.

Proceeds from the Rule 144A and Regulation S for life eight-year notes offering are being used for general corporate purposes, which may include capital expenditures, investments, debt repayment, repurchases of Twitter's common stock, working capital and potential acquisitions and strategic transactions.

Twitter is a San Francisco-based free online social networking microblogging service.
