Icahn affiliate owns 88.7% of XO Holdings following share purchase

Charlotte, N.C., Oct. 17 - Carl C. Icahn affiliate Cardiff Holding LLC bought 3,995,000 shares of XO Holdings, Inc. in a privately negotiated transaction on Oct. 15 for a total of $799,000, or $0.20 per share.

Cardiff also purchased 500,000 of the company's series A shares for a total of $13 million, or $26 per series A share, according to a schedule 13D/A filed with the Securities and Exchange Commission.

The investors beneficially own 676,464,819 shares, or 88.7%, of XO Holdings, it was reported in a schedule 13D filed with the SEC.

Icahn is chairman of the Herndon, Va., voice and internet services company's board of directors.
