Windstream, D&E Communications merger on track to close this week

By Lisa Kerner

Charlotte, N.C., Nov. 9 - Windstream Corp. expects to complete its acquisition of D&E Communications, Inc. this week, according to a company news release.

On Friday it was announced that the Pennsylvania Public Utility Commission granted its approval of the merger, the final regulatory agency approval needed.

In May, Windstream said it agreed to acquire D&E, an Ephrata, Pa., integrated communications provider, in a cash-and-stock transaction valued at about $330 million, or about $10.88 per share.

D&E shareholders will receive 0.65 of a share of Windstream stock and $5.00 in cash per D&E share under the terms of the companies' definitive merger agreement.

As previously reported, D&E shareholders approved the merger in September.

Windstream is a Little Rock, Ark., broadband and entertainment services company.
