By Devika Patel

Knoxville, Tenn., Sept. 3 – Willis North America Inc. plans to price a two-part offering of fixed-rate senior notes due 2029 and 2049, according to a 424B2 filed with the Securities and Exchange Commission.

The notes have a make-whole call and then a par call.

BofA Securities, Inc., Barclays, Citigroup Global Markets Inc., J.P. Morgan Securities LLC and PNC Capital Markets LLC are the bookrunners.

Proceeds will be used to prepay debt under the company’s term loan facility, to pay down borrowings under its revolving credit facility and for general corporate purposes.

The company is a subsidiary of Willis Towers Watson plc, a London-based global risk adviser and insurance and reinsurance broker.
