Wells Fargo plans averaging notes tied to Vanguard Total Stock Market

Tacoma, Wash., Sept. 4 - Wells Fargo & Co. plans to price 0% upside participation ETF-linked notes due Oct. 7, 2019 linked to the Vanguard Total Stock Market index fund, according to a 424B2 filing with the Securities and Exchange Commission.

If the ETF return is positive, the payout at maturity will be par plus 100% to 110% of the ETF return. The exact participation rate will be set at pricing. If the ETF return is negative or zero, the payout will be par.

The ETF's final share price will be the average of the ETF's closing share prices on the last trading day of each March, June, September and December from December 2013 through September 2019.

Wells Fargo Securities LLC is the agent.

The notes will price Sept. 30 and settle Oct. 3.

The Cusip number is 94986RRG8.
