Wells Fargo plans notes with geared buffered downside on MSCI EAFE

Chicago, May 16 - Wells Fargo & Co. plans to price equity-linked securities with geared buffered downside due May 2013 linked to the iShares MSCI EAFE index fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will pay a coupon monthly.

If the fund finishes at or above the threshold level, which will be set at pricing, the payout at maturity will be par.

Otherwise, the payout will be (a) par multiplied by (b) the final index level divided by the initial index level multiplied by (c) the multiplier.

The exact deal terms will be set at pricing.

Wells Fargo Securities, LLC is the agent.

The notes will price and settle in May.

The Cusip number is 94986RJV4.
