HSBC to price 7%-9.5% yield optimization notes linked to Wells Fargo

Philadelphia, Nov. 5 - HSBC USA Inc. plans to price yield optimization notes with contingent protection due Nov. 21, 2011 linked to the common stock of Wells Fargo & Co., according to an FWP filing with the Securities and Exchange Commission.

The one-year notes will carry a coupon of 7% to 9.5%. The exact rate will be set at pricing. Interest will be payable monthly.

The face amount of each note will be equal to the initial share price of Wells Fargo stock.

The payout at maturity will be par unless the final price of Wells Fargo stock is less than 75% of the initial share price, in which case investors will receive one Wells Fargo share per note.

The notes (Cusip 40432R443) are expected to price Nov. 15 and settle Nov. 18.
