Waste Industries to consider going-private offer

Charlotte, N.C., Oct. 23 - Waste Industries USA Inc. said a group of investors led by Lonnie C. Poole Jr. and company president and chief executive officer Jim W. Perry proposed acquiring Waste Industries for $36.75 cash per share in a deal to take the company private.

The investor group, which would keep the company based in Raleigh, N.C., owns some 51% of Waste Industries' common shares, according to a company news release. Other members of the investor group include Macquarie Infrastructure Partners and Goldman Sachs.

A special committee formed by Waste Industries' board of directors will consider the proposal with assistance from J.P. Morgan Securities Inc.

There can be no assurance that any agreement will be executed or that any transaction will be approved or consummated, the release stated.

Waste Industries is a solid waste services company.
