Vodafone publicly offers fixed-rate notes due 2053, 2063

Chicago, Feb. 7 – Vodafone Group plc is offering two fixed-rate notes via Securities and Exchange Commission-registered channels, according to a 424B2 filing on Tuesday morning.

The company is preparing to sell notes due February 2053 and February 2063.

There will be make-whole call options and par call options on both tranches.

There are change-of-control provisions at 101.

BofA Securities, Inc., Citigroup Global Markets Inc., Goldman Sachs & Co. LLC, SMBC Nikko Securities America, Inc. and TD Securities (USA) LLC are working as bookrunners.

Bank of New York Mellon will be the trustee.

Linklaters LLP is working as counsel for the issuer. Cleary Gottlieb Steen & Hamilton LLP is advising the underwriters.

Proceeds will be used to fund a $2 billion capped tender offer for the company’s 5.25% notes due May 2048, 4.375% notes due February 2043 and 5% notes due May 2038. The company raised €500 million in a separate offer to potentially help with the tender offer.

The notes will be listed on the Nasdaq Global Market.

The telecommunications company is based in Berkshire, U.K.
