New Issue: JPMorgan prices $5.94 million autocallable contingent interest notes on two stocks

Chicago, Jan. 31 – JPMorgan Chase Financial Co. LLC priced $5.94 million of autocallable contingent interest notes due Jan. 14, 2027 linked to the stocks of Amazon.com, Inc. and Visa Inc., according to a 424B2 filing with the Securities and Exchange Commission.

Investors will receive a coupon of 9%, paid quarterly, if each underlying stock closes at or above its 53.3% coupon barrier on the related observation date. Previously unpaid coupons will also be paid.

The securities will be called automatically at par if the price of each underlying stock is greater than or equal to its initial price on any quarterly review date.

At maturity the payout will be par unless any stock closes below its 53.3% trigger level, in which case investors will be exposed to the decline of the lesser performer.

The notes are guaranteed by JPMorgan Chase & Co.
