Verizon Communications plans to issue InterNotes through Incapital

Tacoma, Wash., May 15 – Verizon Communications Inc. said it plans to issue corporate notes from time to time through Incapital LLC’s InterNotes program, which is targeted at retail investors.
The senior notes may be issued with fixed or floating interest rates, in minimum denominations of $1,000 and integral multiples of $1,000 and with maturities of nine months or more, according to a 424B3 filing with the Securities and Exchange Commission.
Incapital will act as purchasing agent for the program. BofA Merrill Lynch, Citigroup Global Markets Inc., Morgan Stanley & Co. LLC, RBC Capital Markets, LLC and Wells Fargo Clearing Services, LLC will act as agents.
Verizon expects to sell the notes to the purchasing agent at discounts ranging between 0.30% and 3.15%. The company also may offer the notes directly to investors.
The company has not set a date for the termination of the offering.
Verizon is a New York City-based telecommunications company.
