New Issue: JPMorgan prices $5.94 million 10% upside autocallables linked to Valero

Madison, Wis., July 24 - JPMorgan Chase & Co. priced $5.94 million of 10% upside autocallable single observation reverse exchangeable notes due July 25, 2013 linked to the common stock of Valero Energy Corp., according to a 424B2 filing with the Securities and Exchange Commission.
Interest is payable monthly.
The notes will be called at par if Valero Energy stock closes above the initial share price on Oct. 22, Jan. 22 or April 22, 2013.
The payout at maturity will be par unless the final share price is less than the initial share price by more than 31%, in which case the payout will be a number of Valero Energy shares equal to $1,000 divided by the initial share price or, at JPMorgan's option, a cash amount equal to the value of those shares.
