AMR and US Airways to evaluate combination under non-disclosure deal

By Caroline Salls

Pittsburgh, Aug. 31 - American Airlines parent AMR Corp. and US Airways Group, Inc. have entered into a non-disclosure agreement under which the companies have agreed to exchange confidential information and to work in good faith to evaluate a potential combination, according to a news release.

The companies will work to evaluate the potential combination "in close collaboration" with AMR's official committee of unsecured creditors.

AMR and US Airways said they do not expect to provide further information on the status of any discussions unless and until a transaction has been entered into or talks have been terminated.

In addition, the companies have each agreed not to hold discussions with other parties regarding a potential combination of AMR and US Airways while they are evaluating a potential combination.

AMR, the Fort Worth-based parent of American Airlines, filed for bankruptcy on Nov. 29, 2011 in the U.S. Bankruptcy Court for the Southern District of New York. Its Chapter 11 case number is 11-15463.
