By Paul A. Harris

St. Louis, June 24 - Univision Communications, Inc. set price talk for its $500 million offering of five-year senior secured notes (B2/B-) at the 14% to 14¼% on Wednesday, according to market sources.

The notes are expected to be discounted to around 90 and to price early Thursday.

Deutsche Bank Securities, Banc of America Securities LLC, Wachovia Securities, Mizuho Securities and Credit Suisse are joint bookrunners for the Rule 144A/Regulation S offering.

The notes come with two years of call protection.

Proceeds will be used to fund the tender for the Los Angeles-based Spanish-language media company's 7.85% notes.
