tw telecom to price $430 million eight-year notes Thursday afternoon

St. Louis, March 3 - tw telecom Inc. plans to price a $430 million offering of eight-year senior notes Thursday afternoon, according to an informed source.

Credit Suisse and Wells Fargo Securities are joint bookrunners for the notes, which are being marketed via Rule 144A and Regulation S.

Citigroup Global Markets Inc., Deutsche Bank Securities Inc. and Morgan Stanley & Co. Inc. are co-managers.

Proceeds will be used to fund atender for the company's 9¼% senior notes due 2014.

The prospective issuer is a Littleton, Colo.-based provider of managed network services, specializing in ethernet and data networking, internet access, local and long distance voice, VPN, VoIP and network security to enterprise organizations and communications services companies throughout the United States.
