WII Components tenders, solicits consents for all 10% notes due 2012

New York, June 24 - WII Components, Inc. said it has begun a tender offer and consent solicitation for its $105.85 million of 10% senior notes due 2012.

Holders who tender by the consent deadline of 5 p.m. ET on July 7 will receive $1,002.50 per $1,000 principal amount of notes plus accrued interest up to but excluding the early settlement date. The total includes a consent payment of $2.50.

Holders who tender after this deadline but before the expiration of 11:59 p.m. ET on July 22 will receive par plus accrued interest.

The company is seeking consents to amend the note indenture in order to eliminate substantially all of the restrictive covenants and certain events of default. WII needs consents for a majority of the notes.

Those who tender will be deemed to have delivered consents. Consents may not be given without tendering.

The offer is subject to conditions including the receipt of sufficient proceeds to fund the transaction from a new senior secured credit facility and an offering of subordinated notes.
