Constantin Medien tenders for EM.TV Finance's 5.25% convertible notes

New York, April 22 - Constantin Medien AG announced the start of an up to €17.55 million tender offer for the 5.25% convertible notes due 2013 issued by EM.TV Finance BV.

The notes (ISIN DE000A0GQKR4) are guaranteed by Constantin Medien. Each convertible has a nominal value of €5.85.

Noteholders are invited to make offers to sell their convertibles at a purchase price of at least €5.65 each, including accrued interest.

The offer will wrap at 11 a.m. ET on April 30.

Constantin Medien added that it will have free discretion to determine which offered purchase price it will accept.
