Gemalto to hold tender offer for Wavecom's 1.75% Oceane convertibles

Tacoma, Wash., Oct. 6 - Gemalto SA plans to hold a tender offer for Wavecom SA's 1.75% Oceane convertible bonds due 2014, according to a schedule TO filed with the Securities and Exchange Commission.

The company said it will offer €20 per Oceane.

The offer is being held in connection with Gemalto's proposed acquisition of Wavecom. Tender offers for Gemalto's shares and American Depositary Shares are also in the works.

Subject to the receipt of clearance from the Autorite des Marches Financiers, the offer will begin on Oct. 23 and expire on Dec. 12.

HSBC France will manage the offer.

Wavecom is an Issy-Les-Moulineaux, France-based wireless communications provider. Gemalto provides digital security solutions and is based in Meudon, France.
