National Mentor tenders for 9 5/8% notes

New York, May 25 - National Mentor, Inc. announced a tender offer and consent solicitation for its $150 million of 9 5/8% senior subordinated notes due 2012.

The offer is being made in as part of the Boston company's refinancing in connection with its acquisition by Vestar Capital Partners V, LP. Closing of that merger is expected on June 29.

For each $1,000 principal amount of notes, National Mentor will pay the present value of $1,048.13 and interest payments to Dec. 1, 2008, minus accrued interest up to but excluding the settlement date, discounted using the bid-side yield on the 3 3/8% U.S. Treasury note due Dec. 15, 2008 plus 50 basis points. Pricing will be set at 2 p.m. ET on June 12.

The total includes a consent payment of $30.00 per $1,000 principal amount that will only be paid to holders who tender with consents by the consent deadline of 5 p.m. ET on June 12.

The tender ends at 8 a.m. ET on June 29.

National Mentor is also soliciting consents to eliminate substantially all of the restrictive covenants and certain events of default and related provisions in the note indenture.

Holders who tender must consent.

The offer is subject to conditions, including completion of the merger, refinancing of the company's credit facility and the receipt of consents for a majority of the notes.
