Cimarex Energy amends tender offer for Magnum Hunter convertibles

New York, July 27 - Cimarex Energy Co. said it is amending its offer to purchase any and all of the outstanding floating-rate convertible senior notes due 2023 originally issued by Magnum Hunter Resources, Inc. to clarify withdrawal rights and disclosure obligations as well as to end its right to terminate the offer.

The offer is required as part of Cimarex's acquisition of Magnum Hunter.

Following the amendment, the only condition to the tender is that there is no event of default at the expiration of the offer at 5 p.m. ET on Aug. 5.

As previously announced, Cimarex said it will pay 100% of the principal amount of the convertibles plus accrued interest up to but not including the expiration date.
