Fisher Scientific obtains necessary consents to amend 8% notes indenture

New York, July 12 - Fisher Scientific International Inc. said holders of a majority of its outstanding 8% senior subordinated notes due 2013 provided the required consents to amend the indenture governing the notes.

The changes will eliminate substantially all of the restrictive covenants and amend certain events of default.

Holders may tender their notes until 5 p.m. ET on July 13, the consent payment deadline, to receive the total consideration, including a $30.00 per $1,000 principal amount consent payment.

Those who tender after the consent deadline but before midnight ET on July 27, unless extended, will not receive the consent payment.

The Hampton, N.H., pharmaceutical and biotechnology service company said investors can no longer withdraw notes tendered.

The company, which tendered for the notes with the proceeds of a $500 million issue of senior subordinated notes due 2015, is offering the present value of the Sept. 1, 2008 redemption price of $1,040 per $1,000 principal amount and the present value of the scheduled interest payments through Sept. 1, 2008, calculating the present value using a discount rate of the 3¾% Treasury due May 15, 2008 plus 50 basis points.
