New Issue: Morgan Stanley prices $4.35 million contingent income autocallables on three indexes

Chicago, May 18 – Morgan Stanley Finance LLC priced $4.35 million of contingent income autocallable securities due May 18, 2020 linked to the worst performing of the S&P 500 index, the Euro Stoxx 50 index and the Swiss Market index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will pay a contingent quarterly coupon at an annual rate of 4.35% if each index closes at or above its 65% threshold on an observation date for that quarter along with that of any previous quarter for which no coupon was paid.

The notes will be called at par if each index closes at or above its initial level on a quarterly observation date after six months.

The payout at maturity will be par unless any index finishes below its 65% downside threshold, in which case investors will be fully exposed to any losses of the worst performing index.

The notes are guaranteed by Morgan Stanley.
