Global BPO Services to hold annual meeting on July 29

By Lisa Kerner

Charlotte, N.C., June 26 - Global BPO Services Corp. will hold its annual meeting of stockholders on July 29 at 8 a.m. ET in Boston.

The record date for the meeting is July 3, a Global BPO news release stated.

Stockholders will vote on the proposed acquisition of Stream Holdings Corp. and the proposed equity investment by Ares Corporate Opportunities Fund II, LP.

Global BPO, in conjunction with the private equity group of Ares, agreed to acquire customer relationship management provider Stream Holdings for $200 million, it was previously reported.

On June 2, Global BPO announced it would begin an $8-per-share tender offer for the purchase of up to 20,625,001 shares of its outstanding common stock.

The offer would be funded using the proceeds from the issuance of convertible preferred shares and other available cash resources, including availability under the company's proposed revolving credit facility and term debt of approximately $108 million.

Boston-based Global BPO was formed as a special-purpose acquisition corporation but has no significant operations.
