Morgan Stanley plans contingent income autocallables on S&P GSCI Crude

New York, Sept. 1 – Morgan Stanley plans to price contingent income autocallable securities due Sept. 19, 2017 linked to the S&P GSCI Crude Oil Index - Excess Return, according to an FWP filing with the Securities and Exchange Commission.

The notes will pay a contingent quarterly coupon at an annual rate of 10% if the index closes at or above the downside threshold level, 70% of its initial level, on the observation date for that quarter.

Investors will receive previously unpaid coupons if the index is above the downside threshold level on any subsequent determination date.

The notes will be called at par plus the contingent coupon and any previously unpaid coupons if the index closes at or above its initial level on any determination date after the first six months.

The payout at maturity will be par plus the final coupon and any unpaid coupons unless the index finishes below the 70% downside threshold, in which case investors will be fully exposed to any losses.

Morgan Stanley & Co. LLC is the agent.

The notes will price on Sept. 14.

The Cusip number is 61762GET7.
