New Issue: JPMorgan prices $22.29 million trigger autocallable contingent yield notes on two ETFs

Columbus, Ohio, Jan. 17 – JPMorgan Chase Financial Co. LLC priced $22.29 million of trigger autocallable contingent yield notes due Jan. 15, 2026 linked to the least performing of the Energy Select Sector SPDR fund and the SPDR Dow Jones industrial average ETF trust, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will pay a contingent monthly coupon at the rate of 11.05% per year if the worst performer closes at or above its 60% coupon barrier on the related observation date.

The notes will be automatically called at par plus coupon if the worst performer closes at or above its level on any quarterly observation date after six months.

If the notes are not called, the payout at maturity will be par plus the final coupon, if any, if the worst performer finishes at or above the 60% downside threshold. Otherwise, investors will lose 1% for every 1% decline of the worst performer from its initial level.

The notes are guaranteed by JPMorgan Chase & Co.
