New Issue: Morgan Stanley prices $1.39 million buffer allocation notes linked to index basket

By Angela McDaniels

Tacoma, Wash., Jan. 31 – Morgan Stanley Finance LLC priced $1.39 million of 0% buffer allocation securities due Jan. 31, 2024 linked to the S&P 500 index, the MSCI EAFE index and the MSCI Emerging Markets index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Morgan Stanley.

The allocated basket return will be 84% of the best-performing index’s return plus 16% of the second best-performing index’s return. The return of the worst-performing index will not be used in the calculation of the allocated basket return. Each index’s return can be positive or negative.

If the allocated basket return is greater than zero, the payout at maturity will be par of $10 plus the allocated basket return.

If the allocated basket return is less than or equal to zero but the final basket level is greater than or equal to the downside threshold, 90% of the initial basket level, the payout will be par.

If the final basket level is less than the downside threshold, investors will lose 1% for every 1% that the basket declines beyond 10%.

Morgan Stanley & Co. LLC is the agent, and UBS Financial Services Inc. is acting as dealer.
