JPMorgan plans five-year uncapped buffered notes tied to S&P 500

Chicago, April 13 – JPMorgan Chase Financial Co. LLC plans to price 0% uncapped buffered equity notes due April 28, 2023 linked to the S&P 500 index, according to a 424B2 with the Securities and Exchange Commission.

The notes will be guaranteed by JPMorgan Chase & Co.

The payout at maturity will be par plus 1 to 1.1 times of any index gain. The exact participation rate will be set at pricing.

Investors will receive par if the index falls by up to 20% and will lose 1% for each 1% decline beyond the buffer.

J.P. Morgan Securities LLC is the agent.

The notes are expected to price on April 25.

The Cusip number is 48129MMA1.
