JPMorgan plans uncapped contingent buffered notes on S&P, Russell

Norfolk, Va., Feb. 22 – JPMorgan Chase Financial Co. LLC plans to price 0% uncapped contingent buffered return enhanced notes due Feb. 28, 2022 linked to the lesser performing of the S&P 500 index and the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by JPMorgan Chase & Co.

If the final level of each index is greater than its 130% upside leverage threshold, the payout at maturity will be par plus 1.25 times the contingent minimum return, which is expected to be at least 30% and will be set at pricing.

If either index finishes positive but below its upside threshold level, or either declines by up to 40%, the payout will be par plus the contingent minimum return.

Otherwise, investors will be exposed to the decline of the lesser-performing index.

The notes will price on Feb. 23 and settle on Feb. 28.

The Cusip number is 46646QZT5.
